Baoding Dongli Machinery Manufacturing Co., Ltd. (hereinafter referred to as “Dongli Machinery” or the “Company”) is committed to making a positive impact on the environment through responsible business practices. This statement is intended to communicate to all stakeholders the Company’s commitment to protecting the ecological environment and preventing pollution and environmental damage caused by its operations and production activities.
● This statement applies to all employees of Dongli Machinery and its wholly-owned subsidiaries.
● Applicable to all commercial activities or external interactions involving Dongli Machinery and its wholly-owned subsidiaries, including but not limited to interactions with government agencies, business negotiations with upstream and downstream customer representatives, project implementation, investor relations, and other related activities. It also covers operational activities conducted within the company, such as material procurement, facility engineering, business sales, equipment procurement and maintenance, and quality supervision.
● Dongli Machinery actively calls upon and encourages all customers, suppliers, service providers, contractors, and related partners who conduct business with Dongli Machinery and its wholly-owned subsidiaries to jointly abide by this statement.
The company’s Business Ethics Committee is responsible for overseeing the implementation of this statement. Its main responsibilities include:
● Conduct employee training on a regular or irregular basis based on this statement;
● Regularly review the validity of this statement and continuously revise and improve it.
● Investigate and address any violations of this statement.
Management Objectives
Corruption and bribery
● We commit to conducting regular employee awareness training to enhance employees’ ethical awareness and promote understanding and implementation of this statement by all staff members.
● Starting from 2025, the signing rate of the “Integrity and Self-Discipline Pledge” among newly hired employees will reach 100% annually.
Conflict of interest
● When an employee’s personal interests, in any form, affect the company’s overall interests, the principle of prioritizing the overall interests shall be observed. Company employees should, to the greatest extent possible, avoid allowing their personal interests to impair their ability to contribute to the company’s overall interests.
Fraud
● Ensure that all employees refrain from obtaining unreasonable benefits from others through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or other illegal trading practices.
Money laundering
● We commit not to engage in any money-laundering activities.
Disciplinary measures
● For suspected cases of commercial bribery identified through supervision and reporting, the company’s Business Ethics Team will organize relevant personnel to conduct an investigation. Any employee found to have violated laws, company regulations, or this statement will be subject to disciplinary action, up to and including termination of employment.

● Dongli Machinery may update this statement in response to changes in laws, regulations, and policies. To ensure the continued relevance of this statement, the Supervisory Committee will periodically update its content; the next review date is December 31, 2025. Sustainable Procurement Statement
Baoding Dongli Machinery Manufacturing Co., Ltd. (hereinafter referred to as “Dongli Machinery” or the “Company”) is committed to having a positive impact on the environment and society through responsible business practices. The Company adopts a Sustainable Procurement Statement to guide its procurement activities, thereby reducing the negative impacts of its purchasing practices on both the environment and society and fostering supply chain partnerships that are compliant, responsible, open, transparent, and mutually beneficial.
This statement applies to the management and procurement departments of Dongli Machinery and its wholly-owned subsidiaries. At the same time, Dongli Machinery actively encourages and promotes suppliers, service providers, contractors, and other relevant partners to jointly comply with this statement.
The company’s Procurement Department is responsible for drafting this statement and for implementing and monitoring it, ensuring that the company’s business activities and operations comply with the requirements of sustainable development.
Management Objectives
The company is committed to continuously advancing sustainable procurement to ensure its long-term, sustainable supply of products and services. To this end, the company has clearly defined its goals for sustainable procurement:
● We commit to giving priority, under otherwise equal conditions, to collaborating with suppliers that have obtained certifications in environmental and/or social aspects (such as ISO 14001, ISO 45001, SA 8000, etc.).
● We commit to giving priority to collaborating with women-owned enterprises and enterprises owned by minority and disadvantaged groups under otherwise equal conditions.
● We commit to providing regular training on sustainable procurement for employees in the procurement department, helping them understand and implement sustainable procurement practices.
● By 2026, the proportion of target suppliers that have signed the Supplier Code of Conduct will reach 100%.
● By 2026, 100% of suppliers with long-term stable supply relationships and procurement amounts exceeding 50,000 yuan will have signed contracts that include provisions on environmental, labor, and human rights issues.
● We commit not to intentionally purchase or supply products containing conflict minerals.
● Conduct conflict minerals audits of raw material suppliers every two years.

Compliance with regulations, pollution prevention, environmental protection, and continuous improvement
During its operations and production, Dongli Machinery strictly complies with laws and regulations including the Environmental Protection Law of the People’s Republic of China, the Energy Conservation Law of the People’s Republic of China, the Law of the People’s Republic of China on the Prevention and Control of Environmental Pollution by Solid Waste, the Water Pollution Prevention and Control Law of the People’s Republic of China, and the Air Pollution Prevention and Control Law of the People’s Republic of China. By leveraging technological advancements, the company promotes civilized and clean production practices, reduces pollutant emissions, and prevents environmental pollution.
The company has established a three-tier environmental management framework: The Chairman of the Board (the primary person responsible) leads strategic decision-making, organizational structure design, and handling of major incidents; the General Manager ensures the implementation of system approvals, development of plans, investigation of accidents, and regular reporting; and the Safety Office is responsible for plan execution, project oversight, pollution prevention, emergency response, public awareness and training, and accident investigation.

Energy Consumption and Greenhouse Gas Emissions
● Commit to mitigating climate change by improving energy efficiency and increasing the share of renewable energy used in operations and production processes.
Water resource management
● We commit to strictly implementing the water resource management plan and using water and other natural resources responsibly.
● Enhance employees’ awareness of water resource conservation through initiatives such as conducting water-saving training for staff.
Pollutant Management
● We commit to strictly controlling waste gas emissions during the production process and reducing their generation through measures such as improving production procedures and installing filtration equipment.
● Ensure that exhaust gases and wastewater are treated in compliance with regulations every year, and that noise levels at the plant boundary meet emission standards.
Raw materials, chemicals, and waste
● Commit to reducing environmental harm by using alternative materials that are less harmful or less toxic.
● We commit to implementing comprehensive oversight throughout the entire lifecycle of chemical procurement, storage, and use, thereby minimizing the environmental impact of chemicals to the greatest extent possible.
Product Lifecycle Management
● We commit to gradually increasing the proportion of recyclable and reusable materials used, while ensuring that product performance and quality remain unchanged.
● We commit to actively exploring solutions for product recycling and reuse, in order to reduce the environmental impact of end-of-life products.
● By 2030, the company will conduct life-cycle assessments of its key products.

Labor and Human Rights Statement
Baoding Dongli Machinery Manufacturing Co., Ltd. (hereinafter referred to as “Dongli Machinery” or the “Company”) strictly adheres to the laws and regulations of all jurisdictions in which it operates worldwide and supports the Universal Declaration of Human Rights as well as the Core Conventions on Labor Standards adopted by the International Labour Organization. We respect all employees, safeguard their fundamental rights and interests, and prohibit any form of discrimination or harassment.
This statement applies to Dongli Machinery and its wholly-owned subsidiaries. In this statement, the term “employees” refers to all regular employees (including those employed under all types of employment arrangements).
The company’s Human Resources Department and Safety & Environmental Protection Department, as the departments responsible for safeguarding labor rights, are tasked with developing and implementing various systems related to labor and human rights. These primarily include:
● Continuously review and revise the validity of this statement;
● Provide labor rights training to company employees and suppliers to enhance their awareness of labor rights issues.

Employee Health and Safety
● We commit to conducting regular health and safety risk assessments and providing adequate personal protective equipment to ensure a safe working environment for all employees.
Labor Relations
● Dedicated to fostering harmonious and fair labor relations, building constructive relationships with employees and union representatives, actively communicating and listening to their needs, and jointly promoting the company’s harmonious development.
Child labor and forced labor
● Firmly oppose the employment of child labor or forced labor.
● Employment relationships are based on voluntary participation, and any form of forced labor is strictly prohibited. For individuals who have not reached the nationally mandated working age, the company will, in accordance with relevant regulations, categorically refuse to hire them.
Working conditions
● Ensure that all employees receive fair wages, reasonable working hours, and comprehensive benefits, and provide them with excellent working conditions. Offer all employees attractive benefits, including but not limited to: shuttle services for commuting, free room and board, the five social insurances and one housing fund, holiday benefits, annual medical checkups, birthday gift packages, and team-building activities.
● The coverage rate for social insurance contributions (including basic pension insurance, basic medical insurance, work-related injury insurance, unemployment insurance, and maternity insurance) for regular employees who have signed labor contracts with the company and are directly managed by the company remains at 100%.
Career Management
● We commit to providing ample training support for employees’ career development.
● In 2025, each newly hired employee with less than one year of service will receive no fewer than 4 hours of training per month, and this requirement will be maintained continuously.
● In 2025, employees at the supervisor level and above will participate in a leadership development course once per quarter, with each session lasting no less than 2 hours, and this practice will be sustained over time.
● The company promotes a “rapid learning” culture and is committed to building a learning-oriented organization. We encourage employees to continuously enhance their personal capabilities through ongoing learning, thereby ultimately improving the overall effectiveness of the team. Each year, based on thorough research, the company develops a training program that covers various aspects, including managerial skills, specialized technical expertise, industry knowledge, and professional ethics.

● We commit to building a diverse management team, ensuring that the management team boasts diversity in terms of educational background, professional experience, gender, age, and ethnicity, thereby enhancing decision-making capabilities and innovation.
● We commit to basing hiring, compensation, training opportunities, promotions, work assignments (including overtime), and termination decisions solely on employees’ individual abilities and the requirements of their job positions.
